Terms of Service
The agreement between your organisation and us. Written to be read, not to be survived.
Who this is between
These terms are between TO BE COMPLETED — registered company name ("we", "us") and the organisation whose workspace you are using ("you"). If you are accepting them on behalf of a company, you are confirming that you are allowed to.
This is a business product. Where a term below applies only to consumers, it says so.
What the service does
Coldcache runs AI agents against the live web and returns cited answers. Its defining property is that a thread is pinned to one immutable agent version: publishing a new version never changes what an existing thread runs.
We provide the platform and the model access. We do not provide the answers — those come from a model you choose, and the next section is important.
About the answers
Model output can be wrong, incomplete, or confidently mistaken. It is not advice — legal, financial, medical or otherwise. You are responsible for checking anything you act on.
We make no warranty that an answer is accurate, current or fit for your purpose. What we do guarantee is narrower and more useful: that a given version, given a given input, was recorded exactly as it ran, and that we did not quietly change it underneath you.
Your account and your team
You are responsible for who you invite and what you grant them. Access to each agent is granted per person — read, write, or approve — and an owner or admin can change it at any time.
Keep credentials secure and tell us promptly if an account is compromised.
Credit and payment
Coldcache is sold as prepaid credit. There are no seats, no subscription and no minimum. You buy credit, each run draws it down at the published rate, and when the balance reaches zero runs stop.
Marvio is the merchant of record for purchases. That means Marvio is the seller on your invoice, collects and remits any VAT due, and is the counterparty for the payment itself. Card details never reach us.
Credit does not expire. Running out of credit stops runs and nothing else: your agents, versions, threads and history remain exactly as they were.
We may change the rate for future runs, with notice. A rate change never re-prices a run that already happened — the charge is recorded at the moment of execution.
Who owns what
You own your content: your agent instructions, your inputs, your uploaded documents, and the outputs produced for you. We claim no licence to them beyond what is needed to operate the service for you.
We own the platform — the software, the interface and the documentation. Nothing here transfers that to you.
Acceptable use
Our Acceptable Use Policy forms part of these terms. It is short, and it exists because the model providers we depend on impose their own rules, which necessarily flow through to you.
Availability
We aim to keep the service available and will not pretend otherwise when we fail. No uptime commitment applies unless you have an Enterprise agreement that states one.
We may suspend a workspace that is putting the service or other customers at risk. Where it is safe to warn you first, we will.
Liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability in any twelve-month period is limited to the amount you paid us in that period. We are not liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings.
TO BE COMPLETED — this clause in particular needs a lawyer's eye, because a liability cap that a court will not enforce is worse than no cap at all.
Ending it
You can stop at any time. There is nothing to cancel — stop topping up and you stop paying.
On termination you can export your data. We then delete account data and redact workspace content within 90 days, except billing records we must retain.
We may terminate for a serious or repeated breach of these terms or the Acceptable Use Policy, having given you a chance to fix it where fixing it is possible.
Governing law
TO BE COMPLETED — governing law and jurisdiction, which must match the country of incorporation and cannot deprive a consumer of the protection of their own country's mandatory law.
TO BE COMPLETED — registered address, including country
TO BE COMPLETED — company number and register · VAT TO BE COMPLETED — VAT number
TO BE COMPLETED — general contact email
